These Terms and Conditions (“Terms”) govern your access to and use of the CuesBeat mobile application (the “App”), the associated website at cuesbeat.com (the “Site”), and any related services (collectively, the “Services”), provided by CuesBeat, a company registered in Singapore (“we”, “us”, “our”, or “Company”).

By downloading, installing, accessing, or using the App or Site, you agree to be bound by these Terms. If you do not agree, you must not use the Services.

These Terms supplement any applicable end-user license agreement provided by Apple Inc. (“Apple”) or Google LLC (“Google”) through the Apple App Store or Google Play Store (the “App Stores”). In the event of any conflict, the Apple or Google terms may take precedence to the extent required by their respective platforms.

1. Eligibility

You must be at least 13 years of age (or the minimum age required in your jurisdiction) to use the Services. If you are between 13 and the age of majority in your jurisdiction, you represent that you have your parent’s or legal guardian’s permission to use the Services and that they have agreed to these Terms on your behalf.

2. Account Registration and Security

Certain features may require you to create an account using an email address and password or through third-party authentication (Facebook, Google, or Apple ID). You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account.

You agree to provide accurate, current, and complete information during registration and to update it promptly if it changes. We reserve the right to suspend or terminate accounts that provide false information or violate these Terms.

3. Subscriptions and Payments

CuesBeat offers a free tier and paid subscription plans (collectively, “Subscriptions”). Subscriptions provide access to premium features and are available through the Apple App Store or Google Play Store.

• Pricing and Availability: Subscription prices and features are displayed in the App and may vary by region and currency. We reserve the right to change pricing at any time, with reasonable notice provided in the App or via email.
• Auto-Renewal: Subscriptions automatically renew at the end of each billing period unless auto-renewal is turned off at least 24 hours before the end of the current period. You can manage and cancel auto-renewal through your Apple ID or Google Play account settings.
• Payment Processing: All payments are processed solely by Apple or Google in accordance with their respective policies. We do not collect or store your payment card details.
• Refunds and Cancellations: Refunds, if any, are governed by the applicable App Store’s refund policy. We do not provide refunds except as required by law or App Store rules.
• Free Trials: If offered, free trials automatically convert to paid Subscriptions unless cancelled before the trial ends.

4. Acceptable Use

You agree not to:

• Use the Services for any unlawful purpose or in violation of any applicable law
• Reverse engineer, decompile, disassemble, or attempt to derive source code from the App
• Upload, transmit, or distribute viruses, malware, or harmful code
• Interfere with the operation of the Services or other users’ enjoyment
• Impersonate any person or entity or misrepresent your affiliation
• Engage in harassment, spamming, or abusive behavior

5. User Content and Intellectual Property

You retain ownership of any content you create or upload within the App (e.g., cues, tempo settings, notes). By using the Services, you grant us a worldwide, non-exclusive, royalty-free license to store, process, and display such content solely to provide and improve the Services.

All other content, software, trademarks, logos, designs, and materials in the Services are owned by us or our licensors and protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, sell, or create derivative works without our prior written consent.

6. Termination and Suspension

We may suspend or terminate your access to the Services at any time, without notice, if you violate these Terms, engage in fraudulent activity, or if required by law. You may stop using the Services at any time by uninstalling the App and cancelling any Subscriptions.

7. Disclaimer of Warranties

The Services are provided “AS IS” and “AS AVAILABLE” without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Services will be uninterrupted, error-free, secure, or free of viruses.

8. Limitation of Liability

To the maximum extent permitted by law, we shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Services, even if advised of the possibility of such damages. Our total liability shall not exceed the amount you paid us in the twelve (12) months preceding the claim (or SGD 100 if no payment was made).

9. Governing Law and Dispute Resolution

These Terms are governed by the laws of Singapore, without regard to conflict of law principles. Any disputes arising out of or relating to these Terms shall be subject to the exclusive jurisdiction of the courts of Singapore.

10. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by posting the new Terms in the App or on the Site and updating the “Last updated” date. Your continued use of the Services after such changes constitutes acceptance of the revised Terms.
